Agreement to these terms
These Terms of Service (“Terms”) are a legal agreement between you and Noul (“Noul”, “we”, “us”), the operator of the Noul wholesale marketplace. They govern your access to and use of our website, portals and services (the “Platform”).
By creating an account, browsing the catalogue, placing an order or publishing a listing, you agree to these Terms and to our Privacy Policy. If you accept on behalf of a company, you confirm that you are authorised to bind that company.
If you do not agree with these Terms, do not use the Platform.
Who is who
- Buyer — a business or organisation that browses the catalogue, places orders and pays for them through the Platform.
- Vendor — a supplier, maker or shop that publishes listings and fulfils orders through the Platform.
- Vendor staff — people a vendor invites to operate its shop on its behalf.
- Noul — the marketplace operator. We provide the platform, the tools and the payment rails; we do not manufacture, store, pack or ship the products listed.
If you are an individual buying outside your trade or profession, mandatory consumer-protection law may give you rights that these Terms cannot take away. Where it does, those rights apply alongside these Terms and prevail if there is a conflict.
Accounts and eligibility
- The Platform is intended for business use. You must be at least 18 years old and able to enter into a binding contract.
- Give us accurate and current information when you register, and keep it up to date as your business changes.
- Keep your sign-in credentials secret, do not share them, and do not let anyone impersonate you or your business.
- You are responsible for everything that happens under your account, including anything done by staff you have invited or by anyone who signs in with your credentials.
- Tell us immediately at Contact@Noul.com if you believe your account has been used without your permission.
Noul’s role in the marketplace
Noul is a marketplace platform and is not a party to the sale of goods.
When a buyer places an order for a vendor’s product, the contract of sale is between that buyer and that vendor. The vendor is the seller of record and is responsible for the goods and for everything about the sale: their descriptions, prices, quality, freshness, legality, packaging, invoicing, taxes on the sale and fulfilment.
We facilitate discovery, checkout, payment collection, messaging and — where we say so — refunds, payment protection and payouts. We also verify vendors, moderate content and step in when a buyer and a vendor cannot resolve a problem.
Because listings come from independent vendors, prices, stock, lead times, minimum order quantities and delivery areas are set by the vendor and can change. A vendor may cancel an order if an item turns out to be unavailable, obviously mispriced or something it cannot lawfully sell; we will tell you and refund the affected part of the order.
Vendor terms
Verification
Selling on Noul requires verification before listings can be published.
- We collect and review business registration and trade licence details, tax and VAT identifiers, proof of business address, the identity of the person responsible for the shop and, where required, ownership or beneficial-ownership information and bank details.
- We may approve, reject or defer an application, request more information, attach conditions (such as category limits or order caps), or suspend or revoke verification.
- Verification means we reviewed the documents supplied. It is not a guarantee of quality and it does not make Noul the seller.
- Programmes such as Rebuild Lebanon may use a fast-track or lighter check; those accounts remain subject to ongoing review and can be re-verified at any time.
Ongoing obligations
- Keep your verification documents and payout details current, and re-verify on the schedule we set or when a document expires.
- Publish accurate listings, keep stock and lead times honest, and comply with every law that applies to your business — commercial, food-safety, labelling, cosmetics, electrical-safety, intellectual-property and tax law included.
- Invoice and account accurately, and collect and remit your own taxes.
- Answer buyer messages, cancellation requests and refund requests promptly, and keep your fulfilment performance above the thresholds shown in your vendor dashboard.
- Honour confirmed orders. If you cannot, tell the buyer and us straight away so a refund can be processed.
Prohibited and restricted goods
- Counterfeit, pirated or unauthorised copies of branded goods.
- Goods that are stolen, or whose origin or ownership you cannot evidence on request.
- Weapons, ammunition, explosives, controlled chemicals and controlled drugs.
- Tobacco, nicotine products, unlicensed pharmaceuticals and medical devices that require an authorisation you do not hold.
- Live animals, and items made from protected species.
- Recalled, expired or unsafe goods.
- Anything unlawful under the laws of Lebanon or of the destination country.
- Restricted categories — alcohol, food, cosmetics, electrical goods, supplements and similar — may be sold only where you hold the permits the law requires, only with the labelling the law requires, and only within the categories we have enabled for your shop.
Vendor conduct
- Do not move a buyer off the Platform to avoid fees on an order that started here.
- Do not review your own shop, or arrange for anyone else to do it for you.
- Do not send unsolicited marketing to buyers you met through Noul.
- Do not misuse the verification, refund, dispute, promotion, review or payout systems.
Listings and catalogue content
Vendors are responsible for everything in their listings: titles, descriptions, photographs, specifications, country of origin, certifications, prices, sale units, minimum order quantities and lead times.
- Listings must not infringe anyone’s intellectual property, mislead buyers, hide material conditions of sale, contain malware or link to unlawful content.
- Photos and copy must be yours to use. Do not take another shop’s images, text or product data without permission.
- We may translate, re-categorise, reformat, feature or de-list content to keep the catalogue usable, safe and lawful. Translations are provided as a convenience; the vendor’s listing, read together with the specifications that apply to the product, governs the sale.
- We may refuse or remove a listing, and repeat or serious breaches may cost you access to the Platform.
Orders, prices and payment
Placing an order
- An order is an offer to buy from the vendor. The vendor accepts it by confirming the order (or by dispatching it, if that happens first).
- Prices, sale units and minimum order quantities are those shown on the listing at checkout, in the currency displayed there. Dual currency display is a convenience for comparison only.
- Where an item is unavailable or obviously mispriced, the vendor or Noul may cancel that part of the order. You will be told, and anything you paid for the cancelled items is refunded.
- Delivery zones, case sizes and any order minimums are set by the vendor and shown on the listing or at checkout.
Paying
- Card payments are processed by our PCI-certified payment partner. Card details are entered with that partner and never reach Noul’s servers.
- Cash on delivery may be offered for local orders. With cash on delivery, payment is collected by the vendor or its courier when the goods are handed over.
- By completing a payment you authorise Noul and its payment partner to charge the order total, including any shipping, service fees, taxes and duties shown at checkout.
- Payments may be subject to verification, and to your bank’s own authentication — for example a 3-D Secure step.
- You confirm that you are authorised to use the payment method you select.
Credit and payment terms
- Approved buyers may be offered credit or invoice terms. Where we offer them, the terms agreed with you in writing apply and prevail over this section for as long as they are in force.
Delivery and fulfilment
- Vendors fulfil orders and choose their carrier. They are responsible for packing, dispatch, lead times and shipping documentation.
- Delivery estimates are estimates, not guarantees. Unless a listing says otherwise, risk in the goods passes to the buyer on delivery to the address given at checkout.
- Give a complete and accurate delivery address and make sure someone can receive the goods. If delivery fails for a reason on your side, redelivery, storage or return charges may apply.
- Inspect deliveries when they arrive. Report shortages, damage or wrong items in writing within the period shown on your order, and keep the packaging, photos and delivery notes as evidence.
- International orders may be subject to customs clearance, duties, taxes and import restrictions. Unless the listing states otherwise, those are the buyer’s responsibility.
Cancellations, refunds and disputes
Refund requests are decided by the vendor, with Noul oversight where a dispute cannot be settled between the parties.
- A buyer can request a refund on a paid, shipped or delivered order by opening the order and submitting a request with a reason.
- The vendor can approve the request in full, approve it in part, or reject it with an explanation.
- By default an order is marked complete 14 days after delivery. Once it is complete, the vendor’s payout for that order is released.
- A later refund can still be processed by deducting the amount from the vendor’s next payout, or — where a dispute is open — by holding it.
- Approved refunds go back through our payment partner to the original payment method. Refunding a cash-on-delivery order is handled manually and is usually settled by bank transfer or store credit.
- Return shipping, restocking and any hygiene-related conditions are set by the vendor and must be disclosed on the listing or in the order.
- If you cannot settle a problem with the vendor, you can escalate it to us. We may ask for photos, delivery proof, correspondence or other evidence, and we will decide on the basis of the evidence and these Terms.
Fees, subscriptions and payouts
Vendor fees
- Subscription tiers — Starter, Growth and Rebuild Lebanon — are billed monthly in advance. They are non-refundable except where we fail to provide the service you paid for.
- A commission applies to the value of goods sold through your shop, at the rate for your current tier. The rate and the tier that applies to your shop are shown in your vendor dashboard and govern the period they are displayed for.
- Additional services such as photography, sponsored placements, banners and campaign or delivery setup are optional and priced when you buy them.
- Fees are exclusive of tax unless stated otherwise. You are responsible for the taxes that apply to your business; where the law requires it, we add VAT or a similar tax and account for it.
- Orders that run through a charitable or donation channel may carry a different platform fee. Where that is the case, the fee is disclosed before the order is placed.
Payouts
- Payouts are released after the refund window closes, and reflect order value less commission, refunds, chargebacks, adjustments, taxes and any other amount owed to us.
- Payouts go to the bank account on your verified vendor profile. Keep it current — we are not responsible for delays caused by incorrect payout details or by your bank.
- We may hold, offset or claw back amounts where a fraud or sanctions check requires it, where a legal hold or regulatory obligation applies, where refunds or chargebacks exceed expectations, or while a dispute is open. A hold is reviewed and released as soon as the reason for it ends.
- With cash on delivery, the vendor collects the money directly and is obliged to remit the platform’s share, which we offset against the next payout cycle.
Price changes
- We may change fees and subscription prices with notice. A change applies from your next billing period.
- If you do not accept a change, you can close your shop before it takes effect.
Acceptable use
- Do not use the Platform for anything unlawful, fraudulent or misleading, and do not help anyone else to.
- Do not scrape, crawl, harvest or bulk-copy the catalogue, vendor data or user data without our written permission.
- Do not reverse engineer the Platform, bypass access controls, rate limits or security features, or probe it for vulnerabilities. If you find a vulnerability, report it to Contact@Noul.com instead.
- Do not upload malware, spam, phishing content or chain letters, and do not send unauthorised marketing through the Platform.
- Do not interfere with the normal operation of the Platform or with other users’ use of it.
- Do not use the Platform to trade outside the categories you are permitted to trade in, or to circumvent sanctions, export controls or other trade restrictions.
- Do not collect buyer or vendor personal information to build your own marketing list, directory or competing dataset.
Your content and reviews
- You keep ownership of what you submit — listings, photographs, messages, reviews and other content.
- You grant Noul a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, translate, reformat, resize, display and distribute that content for the purpose of operating, promoting and improving the Platform, including promotion on our own channels.
- You confirm that you have the rights to everything you submit and that it does not infringe anyone else’s rights.
- Reviews must be honest and based on a real transaction. No reviews in exchange for payment or discounts, no reviews of a competitor you do not buy from, and no reviews of your own shop.
- We may remove content that breaks these Terms, and we may keep a record of it for moderation, security and legal purposes.
- Feedback and suggestions you send us about the Platform may be used without obligation or compensation to you.
Intellectual property
- The Platform — its design, software, database structure, the text we author, illustrations, logos, and the Noul name and marks — belongs to Noul or its licensors.
- We grant you a limited, revocable, non-exclusive and non-transferable licence to use the Platform as we offer it to you, for as long as you keep to these Terms.
- Do not copy our brand assets, use our marks as part of your own branding, or suggest that Noul endorses you without our written permission.
- Trademarks owned by vendors or by the brands they sell belong to their owners and appear on listings only to identify the goods.
Availability and changes to the service
- We work to keep the Platform available, but we do not promise uninterrupted or error-free service. Maintenance, vendor or partner outages, and events outside our reasonable control can interrupt access.
- We may add, change, restrict or discontinue features, categories or markets. If we discontinue something you have paid for, we will give reasonable notice and a fair refund or pro-rata credit.
- Catalogues, prices and stock are dynamic. Ratings, badges, statistics, best-seller ordering and delivery estimates are indicative and can change between visits.
Suspension and termination
Closing your account
- You can close your account at any time from your account settings.
- Open orders, refunds and payout holds must still be settled, and fees already due remain payable.
When we may suspend or terminate
- You break these Terms or the law.
- Verification fails, or required documents expire and are not renewed.
- A court, regulator or payment partner requires it.
- A payment is reversed, or we detect fraud, abuse or risky activity.
- Keeping your shop or listings live would put Noul, buyers or other vendors at risk.
Where it is practical, we will explain why and give you a chance to put things right. We may act immediately where compliance, security or fraud prevention makes notice impractical.
Ending our agreement does not affect rights and obligations that arose before it ended. The sections on fees already due, content licences, disclaimers, limitation of liability, indemnity and governing law survive termination.
Disclaimers
- The Platform and its content are provided on an “as is” and “as available” basis. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement.
- We are not the seller, manufacturer or importer of any listed product and give no warranty about the goods themselves.
- We do not warrant that listings, ratings, translations or catalogue data are accurate, complete, current or lawful, although we take reasonable steps — verification, moderation and reporting — to keep quality high.
- We are not responsible for the conduct of buyers or vendors, for content they post, or for interruptions in services run by third parties.
- We do not provide legal, tax, customs or compliance advice. Vendors are responsible for knowing and meeting the rules that apply to their own products and business.
- Nothing in these Terms limits rights you have as a consumer that the law does not allow to be limited.
Limitation of liability
- To the fullest extent the law allows, we are not liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, data, goodwill or business opportunity.
- Our total liability arising out of or relating to the Platform is limited to the greater of (a) the total fees you paid to Noul in the three months before the event giving rise to the claim and (b) USD 100.
- We are not liable for loss caused by events beyond our reasonable control, including natural events, war, civil unrest, outbreak, power or network failure, or acts of government.
- Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, or for fraud or wilful misconduct.
Indemnity
You agree to indemnify and hold Noul, its officers, employees and agents harmless against claims, damages, liabilities, costs and reasonable legal fees arising from your listings, products or content; your breach of these Terms or of the law; your tax, customs, licensing or product-compliance obligations; your dealings with a buyer or a vendor; or your infringement of another person’s rights.
This covers claims made by third parties and by other users, and it survives the end of our agreement.
Governing law and disputes
- These Terms are governed by the laws of Lebanon, without regard to conflict-of-law rules.
- We would rather fix a problem than argue about it. Write to Contact@Noul.com first and we will try to settle the matter within 30 days.
- If we cannot settle it, the dispute falls to the exclusive jurisdiction of the competent courts of Beirut, Lebanon.
- If mandatory consumer-protection law in your country of residence gives you the right to bring a claim locally, that right is not affected.
- Where Noul acts as an intermediary in a buyer–vendor dispute, our decision covers the platform-level question — whether funds are released, held or clawed back. It does not replace a court’s or regulator’s decision about the sale itself.
Changes to these terms
We may update these Terms to reflect changes to the Platform, our fees or the law. The “last updated” date at the top of the page shows the current version.
Material changes get a notice on the Platform, or a message to the contact details on your account, before they take effect. If you continue to use the Platform after a change takes effect, the updated Terms apply. If you do not agree with them, close your account.
General
- These Terms and our Privacy Policy are the whole agreement between you and us about the Platform.
- If a provision is found to be unenforceable, the rest of these Terms stay in force.
- We may assign our rights and obligations. You may not assign yours without our written consent.
- Nothing in these Terms creates a partnership, agency, joint venture or employment relationship between you and us, or between us and any vendor.
- We may send notices through the Platform, by email or by SMS to the contact details on your account. Notices to us must go to Contact@Noul.com.
- Some features — such as Rebuild Lebanon or a charitable donation channel — may come with additional programme guidelines. Those guidelines supplement these Terms and, if they conflict, prevail for the feature they cover.
